Esseco receives the resolution of the AdC on the second phase

Esseco informs that it has received the resolution of the Portuguese Competition Authority (Autoridade da Concorrência) (the "AdC") in which it agrees to begin the second phase of the analysis of the economic concentration resulting from the Offer.

As indicated in the request for authorization of the Offer, according to the public information available to the Offeror, the acquisition of control through the Offer could be subject to notification and authorization by other National Competition Authorities. Once the Offeror obtained all the necessary information, it was finally determined that the Offer is subject to notification and authorization from the AdC, and the Offeror proceeded to submit and notify the AdC on November 19, 2024.

Likewise, it is stated that obtaining authorization or, where applicable, non-opposition by the AdC (not subject to commitments or conditions) to the economic concentration resulting from the Offer is one of the conditions to which the effectiveness of the Offer is subject, in accordance with the terms of article 26.1 of Royal Decree 1066/2007, of July 27 on the regime of public offers for the acquisition of securities.
